feriorquality,badworkmanshiportheuseofinferiormaterials,theBuyersshallimmediatelynotifytheSellersinwritingandputforwardaclaimsupportedbyInspectionCertificateissuedbyEntry&ExitInspectionandQuarantineBureauofChina.TheCertificatesoissuedshallbeacceptedasthebaseofaclaim.TheSellers,inaccordancewiththeBuyer’sclaimshallberesponsiblefortheimmediateeliminationofthedefect(s),pleteorpartialreplacementofthemodityorshalldevaluatethemodityaccordingtothestateofdefect(s).Wherenecessary,theBuyersshallbeatlibertytoeliminatethedefect(s)themselvesattheSellers’expense.IftheSellersfailtoanswertheBuyerswithinonemonthafterreceiptoftheaforesaidclaim,theclaimshallbereckonedashavingbeenacceptedbytheSellers.不可抗力FORCEMAJEURE：在制造、装卸或运输过程中由于不可抗力因素导致延迟交货，卖方不承担责任。但卖方必须在事发后14天内将上述事故的记载及买方可接受的当地*主管部门出示的有关偶然事故的*通过航空快件发给买方，在这样的处境下，卖方仍需尽力采取必要的措施保*尽快的供货，如果事故持续超过10周，买方将有权撤消未发货的订单，或延迟交货时间。TheSellersshallnotbeheldresponsibleforthedelayinshipmentornondeliveryofthegoodsduetoForceMajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbythepetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersatitsoptionmaydeletetheundeliveredgoodsfromitspurchaseorderorappropriatelyextendthetimeofdelivery.TheBuyersshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisContractduetoForceMajeure.延迟交货和罚款LATEDELIVERYANDPENALTY：除本合同第十四条中不可抗力因素引起外，如果卖方未能按合同规定如期交货，若卖方同意赔款并从付款银行扣除罚款，买方应同意延迟交货。罚款不能超过延迟交货商品总价的5%。罚款率为每7天0.5%，未超过7天时按7天计。卖方若延迟交货超过合同规定日期10周，买方有权解除合同，或要求限期交货并向买方支付罚款。ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofForceMajeurecausesspecifiedinClause14ofthisContract,theBuyersshallagreetopostpohedeliveryonconditionthattheSellersagreetopayapenaltywhichshallbedeductedbythepayingbankfromthepayment.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandtheSellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.仲裁ARBITRATION：与本合同有关的或由执行本合同引起的矛盾应通过友好协商解决。如无法达成协议，应提交仲裁。仲裁在**进行，并由**贸易促进委员*属的对外经济贸易仲裁委员会按照仲裁机构暂行的规定进行仲裁。仲裁结果应作为双方的最终约束。任何一方不得向法庭或其他协会申请修改仲裁结果，仲裁费用由败诉方承担。仲裁期间，双方应继续执行本合同中除仲裁条款外的其他条款。AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationmissioninaccordancewithitsRulesofArbitrationpromulgatedbythesaidArbitrationmission.TheArbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationmissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.InthecourseofArbitration,bothpartiesshallcontinuetoexecutethepresentContractexceptthoseunderarbitration.特殊条款SPECIALPROVISIONS:Inwitnessthereof,thisContractismadeEnglishandChinese,bothofwhichshallhaveequalstatusinlaw,signedbybothpartiesintwooriginalcopies;eachpartyholdsonecopy.Signedbyfaxiseffective.本合同为中英文制，一式两份，买卖双方各执一份。传真签署有效。附件为此合同不可分割的一部分。THEBUYER:KunmingDeZhongTradingCo.,Ltd.THESELLER:HongKongForeverTechnologyCo.,Ltd..序号产品名称品牌规格型号数量单位单价总价保修期123合计金额**（小写）合计金额**（大写）配置清单ATTACHMENT：
